Governing Bodies

Board of Directors of RADPOL S.A. is represented by:

Andrzej Sielski - Chairman of the Board of RADPOL S.A. since 2004, board member and finance director since 2001. He has been connected with RADPOL since 1998, when he was starting his career as a head clerk and finance and controlling department manager.

Prior to RADPOL, he worked in Bank Gdański SA (department in Chojnice) and BIG Bank Gdański SA (department in Chojnice) as a loan inspector and later on as a assistant loan department manager.

He graduated from the Faculty of Economics at the Mikołaj Kopernik University in Toruń. He also gained a diploma of Banking at the Gdańsk Academy of Banking by the Gdański Institute for Market Economics. In 1999, Sielski was rewarded a diploma from Akademia Controllingu in Gdańsk. MBA-graduate from Gdańsk Foundation for Management Development conducted in cooperation with Rotterdam School of Management.

Married, has three children. His hobbies are classical music, philosophy and economics.

Andrzej Pożarowszczyk - Vice President of the RADPOL SA Board since April 2011. In the years 1988 - 1991 he worked in the Department of Gas and Sanitation Installations in Lublin as a specialist in network construction. In the years 1994-2001 he was the Vice President of Polifolia company, were he was building from the scratch one of the leading Polish manufacturers of plastic packaging using thermoforming.

In 1991 he founded Rurgaz Sp. Ltd., which is now one of the largest producers of pipes made of polyethylene and polypropylene in Poland.

He graduated from the Electric Faculty of Lublin Technical University. He also earned an MBA title at the University of Ilinois at Urbana - Champaign.

Married, one child. His passions are avant-garde music, basketball, skiing and literature.

Supervisory Board of RADPOL S.A. is represented by:

Mr. Adam Dombrowski, holds the position of the Vice President of the RADPOL SA Board since September 2011.

He started his career in 1996 at Siemens Sp. o.o. In the years 2000-2005 he was associated with EDF, EnBW Poland Sp. o.o. where he was co-creating and coordinating the implementation of the Company's strategy on the Polish market. For the next four years he has worked for Ensto Pol Sp. o.o. first as a Sales Director for Central Europe region and then as a Managing Director and CEO. Recently he started working for Schneider Electric's Energy Poland Sp. o.o.

He is a graduate of Faculty of Electrical Engineering of Warsaw University of Technology. He also completed postgraduate studies in Finance and postgraduate studies in Value Based Management at Warsaw School of Economics. One of the top 5 graduates of Carlson School of Management Executive MBA program at the University of Minnesota in 2003. Participant of International Executive Program at INSEAD in France and Singapore.

Married, one child. His passion is golf, tennis, jogging, running half-marathons, playing chess, cinema, music and reading about history and politics of the twentieth century.

Mr. Grzegorz J. Bielowicki, is the Chairman of the Supervisory Board. The term of office of Mr. Grzegorz J. Bielowicki expires in 2012. Mr. Grzegorz J. Bielowicki has higher education (major: management), he graduated from the Faculty of Management at the Warsaw University and at the Graduate School of International Executive MBA Business University of Chicago. Mr. Grzegorz J. Bielowicki has occupied the following posts:

  • Between 1995-1996 in Kosciuszko Bowling Green, based in the United States as a consultant of investment funds in Eastern Europe,
  • Between 1997-1998 at the School of Management and Entrepreneurship in Warsaw as an assistant,
  • Between 1998-2005 in the VOS Logistics Polska Sp. z o.o (formerly Euroad) as Chairman of the Board.

    Mr. Grzegorz J. Bielowicki performs a single economic activity based on the provision of economic consultancy services.
    Mr. Grzegorz J. Bielowicki sits on the Supervisory Board of the company EUROMAG S.A. and is subsequently the Chairman of the Board of Apreo Logistics S.A.
    Mr. Grzegorz J. Bielowicki is a member of the company supervising Saltcom S.A.
    Mr. Grzegorz J. Bielowicki is the head clerk for Tar Heel Capital Sp. Z o.o Spółka Komandytowa.
    The above mentioned entities do not pose a competition against the Issuer.
    Mr. Grzegorz J. Bielowicki is a associate in the following companies: Tar Heel Capital Sp. z oo, Tar Heel Capital sp. z oo Spółka Komandytowa and Euromag S.A. According to the statement, Mr. Grzegorz J. Bielowicki does not perform any competitive business activities against the Issuer, nor is a partner in a competitive company or civil partnership, nor is a member of the company's competitive capital, nor any competitive legal entity. According to the statement, Mr. Grzegorz J. Bielowicki has not been deprived of the right to perform business activities and to act as a member of the supervisory board, a representative or a partner in trade company, state enterprise, cooperative, foundation or association by the bankruptcy court and has not been convicted with a legal decision of a crime of fraud.
    Mr. Grzegorz J. Bielowicki was not a recipient of any public prosecutions or sanctions from legal bodies or professional organizations.

    Mr. Zbigniew Janas, Deputy Chairman of the Supervisory Board
    Term of office of Mr Zbigniew Janas expires in 2012. Mr Janas has no employment relationship with RADPOL SA. Mr Janas has a secondary technical education. He graduated from Warsaw Railway Technical School, major in communications technician.

    Mr Zbigniew Janas occupied the following posts:
  • In the years 1974-1978 in the railway depot in Warsaw as an engineer,
  • In the years 1978-1980 in ZM URSUS based in Warsaw as an electrician,
  • In 1980-1981 in ZM URSUS, based in Warsaw, as Chairman of the "Solidarity" Trade Union, and then in the years 1981-1989, he served as Chairman of the "Solidarity" Trade Union
  • In 1988-1989, at "Unicum" based in Warsaw as a member and sales representative,
  • In the years 1989-2001 Member of the Polish Sejm.

    Since 2002, Mr. Zbigniew Janas conducts business activity based on economic consultancy. From 20-03-2007 Mr. Zbigniew Janas served as a member of the Supervisory Board of WARFAMA SA. In addition, during the last five years, Mr. Zbigniew Janas was not a member of the administrative, management or supervisory bodies or a partner in other partnerships or companies.
    Mr. Zbigniew Janas in the years 1990-1991 directed the work of Central and Eastern European Forum based in Warsaw as a director, then in 1991-1992 directed the work of the Foundation of Stefan Batory in Warsaw as a Chairman.

    Mr. Janas does not conduct competitive activity against the Issuer, does not participate in a competitive partnership, nor is a member of the rival capital company, or any competitive entity. According to the statement made, Mr. Zbigniew Janas has not been deprived of the ability to conduct own business activity by the bankruptcy court of law, of the ability to act as a supervisory board member, representative or partner in a commercial company, state enterprise, foundation or association, and has not been convicted of fraud. Mr. Janas has never been subject to any public accusations or sanctions by statutory bodies or professional organizations.

    Mr. Tomasz Firczyk, Secretary of the Supervisory Board
    Term of office of Mr. Tomasz Firczyk expires in 2012. Mr. Firczyk has no employment relationship with RADPOL SA. Mr. Firczyk has a university degree (MA in Economics). He graduated from Cracow University of Economics. Possesses Authorized Auditor certificate.

    Mr. Tomasz Firczyk occupied the following posts:
  • in 2001 at Polpharma Warsaw Sp. z o.o., as an accountant,
  • in years 2001-2005 at Vos Logistics Poland Sp. z o.o., as financial analyst,
  • in 2005 at BDO Poland Sp. z o.o., as senior assistant authorized auditor.

    Mr. Tomasz Firczyk performs a single economic activity based on the provision of economic consultancy services. Mr. Tomasz Firczyk is a member of supervisory bodies of Apreo Logistics S.A. and Saltcom S.A. The above mentioned entities do not pose a competition against the Issuer. Moreover, during the period of last 5 years, Mr. Tomasz Firczyk was a member of supervisory bodies of Metalplast-System Sp. z o.o. and Perła-Browary Lubelskie S.A. According to the statement, Mr. Tomasz Firczyk does not perform any competitive business activities against the Issuer, nor is a partner in a competitive company or civil partnership, nor is a member of the company's competitive capital, nor any competitive legal entity. Mr. Tomasz Firczyk did not hold any managerial or supervisory post in the entities, which during his tenure were in a state of bankruptcy, liquidation or receivership. According to the statement, Mr. Tomasz Firczyk has not been deprived of the right to perform business activities and to act as a member of the supervisory board, a representative or a partner in trade company, state enterprise, cooperative, foundation or association by the bankruptcy court and has not been convicted with a legal decision of a crime of fraud.

    Mr. Firczyk does not conduct competitive activity against the Issuer, does not participate in a competitive partnership, nor is a member of the rival capital company, or any competitive entity. According to the statement made, Mr. Tomasz Firczyk has not been deprived of the ability to conduct own business activity by the bankruptcy court of law, of the ability to act as a supervisory board member, representative or partner in a commercial company, state enterprise, foundation or association, and has not been convicted of fraud. Mr. Firczyk has never been subject to any public accusations or sanctions by statutory bodies or professional organizations.

    Mr. Tomasz Kapliński, is the Supervisory Board member.
    The term of office of Mr. Tomasz Kapliński expires in 2012. Mr. Tomasz Kapliński is not in employment relationship to the Issuer. Mr. Tomasz Kapliński has higher education (MA in law). He graduated from the Faculty of Law and Administration at the Warsaw University. During time period of 1999-2002, Mr. Tomasz Kapliński was completing legal training at the Law Office of Krystyna Kleiber. In 2002, Mr. Tomasz Kapliński has been placed on a list of lawyers of District Bar Council in Warsaw Mr. Tomasz Kapliński has occupied the following posts:

  • Between 1997-1999 in the Law Office Baker & McKenzie as a junior lawyer,
  • In the years 1997-2001 as employee at the Institute of Private Law and International Trade, Faculty of Law and Administration at the Warsaw University,
  • Between 2000-2001 the ACCOR POLAND as a legal adviser,
  • Between 2001-2006 in the Law Office CMS Cameron McKenna as a lawyer in the Department of Judicial Proceedings.

    Since April 2006, Mr. Tomasz Kapliński has his own law office. According to the statement, Mr. Tomasz Kapliński does not perform any competitive business activities against the Issuer, nor is a partner in a competitive company or civil partnership, nor is a member of the company's competitive capital, nor any competitive legal entity. Moreover, during the period of last 5 years, Mr. Tomasz Kapliński was not a member of the administrative, managerial or supervisory or a partner in other companies or personal interests, with the exception of "Willmann Meble" Sp. z o.o., where Mr. Kapliński was a partner.
    Mr. Tomasz Kapliński did not hold any managerial or supervisory post in the entities, which during his tenure were in a state of bankruptcy, liquidation or receivership. According to the statement, Mr. Tomasz Kapliński has not been deprived of the right to perform business activities and to act as a member of the supervisory board, a representative or a partner in trade company, state enterprise, cooperative, foundation or association by the bankruptcy court and has not been convicted with a legal decision of a crime of fraud.
    Mr. Tomasz Kapliński was not a recipient of any public prosecutions or sanctions from legal bodies or professional organizations.

    Mr. Krzysztof Kurowski Ph. D.,
    Graduate of the Poznań University of Technology, faculty of Computer Science, major in Intelligent Decision Support Systems and faculty of Management and Marketing, major in Enterprise Management. Obtained his Ph.D. degree in 2009, started his professional career in 1999 at the Poznan Supercomputing and Networking Center ICHB Polish Academy of Sciences in Poznan, currently occupies the post of Head of the Application Department. In 2001 passed the state examination of the Ministry of Finance for members of the Supervisory Boards of companies connected to the State Treasury. In 2003, obtained a certificate confirming the qualifications in the field of computer applications in management at the Universite Paris - Dauphine in Paris, France. Since 2002, directly involved and responsible for the preparation and realization of international research projects under the EU Framework Programmes and development projects with the participation of leading global companies in the ICT sector. Held research fellowships in several research and development centers in Europe, the United States and Australia.

    Mr. Kurowski does not conduct competitive activity against the Issuer, does not participate in a competitive partnership, nor is a member of the rival capital company, or any competitive entity. According to the statement made, Mr. Krzysztof Kurowski has not been deprived of the ability to conduct own business activity by the bankruptcy court of law, of the ability to act as a supervisory board member, representative or partner in a commercial company, state enterprise, foundation or association, and has not been convicted of fraud. Mr. Kurowski has never been subject to any public accusations or sanctions by statutory bodies or professional organizations.

    Mr. Leszek Iwaniec, Member of the Supervisory Board.
    Term of office of Mr. Leszek Iwaniec expires in 2012. Mr. Iwaniec has no employment relationship with RADPOL SA. Mr. Leszek Iwaniec has a university degree. He graduated from Warsaw University (Faculty of Law and Administration), major in financial law. At Warsaw University in 1992, Iwaniec graduated from the Postgraduate Law and Economics of the European Communities studies, specialization - "Financial policy of the European Communities." In the same year he obtained stockbroker license (No. 118).

    Mr. Leszek Iwaniec occupied the following posts:

    Mr. Iwaniec does not conduct competitive activity against the Issuer, does not participate in a competitive partnership, nor is a member of the rival capital company, or any competitive entity. According to the statement made, Mr. Leszek Iwaniec has not been deprived of the ability to conduct own business activity by the bankruptcy court of law, of the ability to act as a supervisory board member, representative or partner in a commercial company, state enterprise, foundation or association, and has not been convicted of fraud. Mr. Iwaniec has never been subject to any public accusations or sanctions by statutory bodies or professional organizations.

    Mr. Jacek Tomasik, Member of the Supervisory Board.
    Term of office of Mr. Jacek Tomasik expires in 2012. Mr. Jacek Tomasik is not in the employment relation with Radpol SA. Mr. Jacek Tomasik has a university degree. He graduated from Warsaw School of Economics, his Master's Thesis was from the field of foreign investments in Poland.
